Preparing Your Nonprofit for Florida’s New Legal Framework: Understanding HB797

Description

Starting July 1, 2026, through HB 797, Florida will implement a major overhaul of its nonprofit laws, modernizing the state's statutes to align with the American Bar Association’s Model Nonprofit Corporation Act. This shift replaces aging provisions in Chapter 617, Florida Statutes, and introduces significant updates to governance, officer duties, and operational flexibility.

The review is open to leaders of all Florida nonprofit organizations and will be led by Phil DiComo, a non-profit legal expert and head of Nason Yeager’s Nonprofit Practice Group, and attorney Megan Norris Grant.

ABOUT THE PRESENTERS

Philip M. DiComo, Esq., is a shareholder at Nason Yeager. Mr. DiComo serves as outside general counsel to a variety of both commercial and not-for-profit corporations across various industries and tax statuses. He also concentrates his practice in the areas of emerging companies, entertainment and licensing, mergers and acquisitions, and executive employment arrangements.

Mr. DiComo is widely recognized for his vast knowledge in nonprofit governance, policy and practices. He is the recipient of the Non-Profit Law Award from the Legal Aid Society of Palm Beach County, is a member of the Leadership Palm Beach County Class of 2012 and is a Board Member Emeritus at Nonprofits First. In 2014, he earned the Chartered Advisor in Philanthropy® (CAP®) professional designation from the Richard D. Irwin Graduate School of The American College.

Megan Norris Grant is an attorney at Nason Yeager and a member of the firm’s corporate department, where her practice focuses on general corporate law, including commercial entities and exempt organization law. She advises businesses and nonprofit organizations on governance, compliance, and regulatory matters, with particular experience supporting nonprofit formation, tax‑exempt status, and operational structuring.

Prior to joining Nason Yeager, Ms. Grant worked as an associate attorney and served as a judicial law clerk at Florida’s Third District Court of Appeal. She earned her Juris Doctor from the University of Miami School of Law and later completed an LL.M. through the Heckerling Graduate Program for Estate Planning and Tax. Ms. Grant holds dual Bachelor of Arts degrees from Emory University, is a member of The Florida Bar, and previously served as Editor‑in‑Chief of the University of Miami Business Law Review.
